Octavius Infrastructure is well regarded within its sector and enjoyed strong growth in the years before acquisition. Despite this strong performance, the parent, Geoffrey Osborne Limited, a large commercial construction business designated this division outside of their core strategy. As a result, the business had not been able to maximise its potential or pursue its own strategic objectives as part of a larger group. The transaction which was more akin to a de-merger given the relative size to the parent was complex given the level of reliance on central overhead functions. Given this, the parent sought to partner with Sullivan Street given the extensive track record in successfully executing carve-out transactions. Under independent ownership Octavius will significantly benefit from dedicated shareholder focus to capitalise on the strong secular tailwinds in the sector.
